This book will provide practitioners with a useful reference tool by which they can compare and contrast the Québec Business Corporations Act (QBCA) against the Canada Business Corporations Act (CBCA) in particular. It presents and included some additional insight into the QBCA – particularly how the substantial body of jurisprudence arising under the CBCA, the predecessor legislation (Québec Companies Act) and the cognate legislation of other provinces might be applied, or distinguished, under the QBCA.

Charles Chevrette is the Management Partner of McMillan LLP's Montreal office and is a member of the Capital Markets and Corporate and Commercial Groups of the firm. He is a member of the Québec Bar and of the International Bar Association. His practice is focused on private equity, venture capital, mergers and acquisitions, technology transfers as well as sophisticated cross-border transactions.
Wayne D. Gray, Practical Law Canada's Corporate and M&A practice lead, is a former Partner of McMillan LLP's Toronto office and is one of Canada's leading specialists in corporate law, M&A transactions and corporate governance. He is a member of the Ontario Bar and of the British Columbia Bar. Wayne has been a qualified expert in corporate law before the Ontario Superior Court of Justice, and has provided expert advice in lawyers' malpractice litigation. He received the Award for Distinguished Service from the Ontario Bar Association (2006). He is the author of several books and publications relating to corporate law, including the Annotated Canada Business Corporations Act and the Annotated Ontario Business Corporations Act.
